Terms of Service

These Terms of Service ("Terms") govern your access to and use of theaiguywi.com (the "Site") and the products, services, content, and tools made available through the Site (collectively, the "Services") by Turn-Key Pro Services LLC, a Wisconsin limited liability company doing business as Agent Logic ("we," "us," "our").

By accessing the Site or purchasing or using any Service, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

1. Who We Are

Agent Logic is an AI software and services business based in Fond du Lac, Wisconsin, operated by Turn-Key Pro Services LLC. We sell digital products (e-books, primers, kits), offer paid AI consulting and installation services, and provide a free training catalog and other educational resources.

2. Eligibility

You must be at least 18 years old to purchase any Service or enter into a binding agreement with us. By using the Services, you represent that you meet this requirement and that the information you provide to us is accurate.

3. Accounts and Communications

Some Services require you to provide an email address, phone number, or other contact information. You agree to keep this information accurate. We may contact you using the information you provide for transactional, operational, and (where you have opted in) marketing purposes.

4. Paid Products and Services

Pricing and payment

All prices are listed in U.S. dollars and are subject to change. We use Stripe as our payment processor; by submitting payment information, you agree to Stripe's terms as well as these Terms.

Digital products

E-books, primers, kits, and other downloadable digital products are delivered electronically (typically by email) shortly after a successful purchase. Digital products are non-refundable once delivered, except where required by applicable law or where you reasonably believe the product is materially defective. If you believe a product is materially defective, contact [email protected] within 14 days of purchase for review.

Custom services

Paid AI consulting, audits, installations, and managed services are scoped on a per-engagement basis. Specific deliverables, timelines, payment terms, and cancellation rights are set out in the engagement-specific agreement or purchase confirmation. The terms of the engagement-specific agreement control if they conflict with these Terms for that engagement.

Recurring services

Where a Service is offered on a recurring (subscription or maintenance) basis, the recurrence frequency, renewal terms, and cancellation procedure are described at the time of purchase. You may cancel a recurring Service at any time by emailing us; cancellation takes effect at the end of the then-current billing period.

5. Free Content

We make free training materials, articles, downloadable PDFs, and other educational resources available on the Site. These are offered as-is for your personal and business educational use. You may not redistribute, resell, or commercially exploit free content without our written permission.

6. Intellectual Property

The Site and all content provided through it — including text, graphics, logos, images, software, training materials, and downloadable products — are owned by Turn-Key Pro Services LLC or our licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and your purchased Services for your personal or internal business use, subject to these Terms. You may not copy, modify, reverse-engineer, distribute, publicly display, or create derivative works of any of our content except as expressly permitted in writing or by applicable law.

7. User Content

If you submit content to us — for example, by uploading documents to a project workspace, sharing details by phone or SMS, or providing information in a form — you grant us a non-exclusive, royalty-free, worldwide license to use that content solely to provide the Services to you and to operate our business (for example, to train our internal models against anonymized inputs, to debug our products, and to comply with legal obligations). You represent that you have the rights necessary to submit the content.

We do not claim ownership of your content. We will not publicly disclose your content except as required by law or with your permission.

8. AI Outputs — Important Limitations

Our products use large language models and other AI systems to produce outputs. AI systems can and do produce mistakes, including factual errors, hallucinations, and reasoning errors. You are responsible for reviewing AI outputs before acting on them, especially in any context that has legal, financial, medical, regulatory, or safety implications. Outputs from our products do not constitute legal, financial, tax, medical, or other professional advice.

10. Third-Party Services

The Site may link to third-party websites or rely on third-party services (such as Stripe for payments, Twilio for voice and SMS, and Google or Microsoft for analytics). We are not responsible for the content, policies, or practices of third parties.

11. Disclaimers

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TURN-KEY PRO SERVICES LLC, ITS OWNERS, OR ITS CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.

13. Indemnification

You agree to indemnify and hold harmless Turn-Key Pro Services LLC, its owners, and its contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site or Services, your violation of these Terms, or your violation of any third-party right.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-laws principles. You and we agree that any dispute arising out of or related to these Terms or the Services will be resolved exclusively in the state or federal courts located in Fond du Lac County, Wisconsin, and you consent to the personal jurisdiction and venue of those courts.

15. Changes to These Terms

We may update these Terms from time to time. The "Effective date" at the top of this page indicates when they were last revised. Material changes will be communicated by updating this page; your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

16. Severability and Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and any engagement-specific agreement you have signed with us, constitute the entire agreement between you and us regarding the Site and Services and supersede any prior agreements.
